Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the Spendable mobile application and website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

You must be at least 13 years old to use the Service. If you are under 18 (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3.1 Registration

To use the Service you must create an account with a valid email address and a password that meets our security requirements, or sign in using Google or Apple. You agree to provide accurate and complete information during registration and to keep that information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account.

5. Third-Party Services

The Service integrates with third-party providers, including Plaid for bank connectivity. Your use of Plaid is subject to Plaid's end-user privacy policy. We are not responsible for the practices or availability of any third-party service. If a third-party provider experiences downtime or changes its terms, certain features of the Service may be temporarily unavailable or affected.

6. Intellectual Property

All rights, title, and interest in the Service — including its design, code, graphics, logos, and trademarks — are owned by Spendable or its licensors. These Terms do not grant you any right to use the Spendable name, logo, or branding without our prior written consent.

You retain ownership of the data you provide to the Service (such as goals, categories, and merchant rules). By using the Service you grant us a limited, non-exclusive license to use that data solely to operate and improve the Service on your behalf.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Spendable is not a financial advisor, broker, or fiduciary. The forecasts, projections, safe-to-spend estimates, and other outputs provided by the Service are for informational purposes only and do not constitute financial, investment, tax, or legal advice. You should not rely solely on the Service when making financial decisions.

Forecasts are based on your historical transaction data and are inherently uncertain. We do not guarantee the accuracy, completeness, or timeliness of any forecast, balance, or transaction data displayed in the Service. Bank data is provided through third-party integrations and may be delayed or incomplete.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Spendable, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, or goodwill — arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Without limiting the foregoing, our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the amount you have paid us (if any) in the twelve (12) months preceding the claim.

You acknowledge that inaccurate forecasts, delayed transaction data, or temporary unavailability of the Service may cause you to make financial decisions that result in losses. You assume full responsibility for any financial decisions you make based on information provided by the Service.

9. Indemnification

You agree to indemnify, defend, and hold harmless Spendable and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

10.1 By You

You may delete your account at any time from the Settings screen in the app. Upon deletion, all of your data — including your profile, financial data, goals, settings, and device registrations — will be permanently removed. Your Plaid access tokens will be revoked, severing the connection to your bank. For details, see our account deletion page.

10.2 By Us

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms or if continued operation of your account poses a risk to the Service or other users. Where possible, we will provide notice and an opportunity to export your data before termination.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 6 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), and 12 (Governing Law) survive termination.

11. Changes to Terms

We may update these Terms from time to time. When we make material changes we will notify you by email or through a prominent notice in the app at least 30 days before the changes take effect. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you should stop using the Service and delete your account.

12. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict-of-law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue resolution in the state or federal courts located in Sumner County, Tennessee, and you consent to the personal jurisdiction of those courts.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service you acknowledge that you have read and understood the Privacy Policy.

14. General

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent possible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. These Terms constitute the entire agreement between you and Spendable regarding the Service and supersede any prior agreements.
